The companies have employed at least five distinct financial techniques — special-purpose vehicles, credit-enhancement derivatives, finance leases, residual value guarantees, and uncommenced lease agreements — to keep the obligations out of public view. The Bank for International Settlements flagged these arrangements in its March 2026 quarterly report, coining the term "shadow borrowing" to describe obligations that are "economically akin to debt but largely reside outside corporate balance sheets."facebook+1
Meta's approach is the most elaborate. To build Hyperion, a data center in Louisiana covering an area four times the size of Central Park, the company channeled $27.3 billion in debt through a web of seven Delaware shell companies registered under the codename "Beignet." Blue Owl's net lease REIT and co-investors hold 80 percent of the joint venture through these entities, while Meta retains 20 percent — a split that allows Meta to argue it is not the "primary beneficiary" and therefore need not consolidate the debt.odaily+1
Only $2.37 billion of the project appears on Meta's balance sheet. The bonds, issued via Rule 144A private placement at a 6.581 percent coupon and maturing in 2049, are backed ultimately by Meta's creditworthiness through a residual value guarantee capped at approximately $28 billion.news.futunn
Each company has taken a distinct route to a similar outcome. Microsoft's finance lease liabilities surged from $27.1 billion to $62.9 billion over the past two years, exceeding its total reported debt, yet these appear under "other liabilities" rather than the debt line. Google provides credit guarantees whose notional amount rose from $16.9 billion to $43.8 billion within six months, while recording only $815 million in fair value on its balance sheet. Amazon and Oracle rely on lease commitments that will not commence for years, keeping $106.3 billion and $260 billion respectively entirely off their books.odaily+1
On July 9, S&P Global Ratings downgraded Oracle from BBB to BBB−, one notch above junk status, citing risks from its surging AI infrastructure spending.reddit+1
The BIS's June 2026 annual report took the unusual step of listing AI-driven asset bubbles and circular financing alongside sovereign debt as top risks to the global financial system. The parallel to the 2008 crisis has gained traction: 60 percent of planned data centers have not yet broken ground, yet debt linked to them has already been sold. GPU hardware depreciates within five to six years, while bond maturities stretch to 24 years.futurism+2
Oracle's credit default swap spread surpassed its 2008 crisis peak in March 2026 and set another record four months later, signaling that markets are already struggling to price the uncertainty embedded in these structures.news.futunn
