The upfront consideration consists of $3.1 billion in cash and approximately 17 million newly issued Alcoa shares valued at roughly $1 billion, representing about 6% of Alcoa's outstanding shares post-issuance. South32 may receive up to an additional $750 million through a contingent value right tied to future alumina and aluminum prices over four annual periods beginning July 1, 2026. The assets being acquired include South32's interests in the Boddington bauxite mine and Worsley alumina refinery in Western Australia, the Hillside aluminum smelter and idled Bayside smelter property in South Africa, and the Mineração Rio do Norte bauxite mine and Alumar alumina refinery and aluminum smelter in Brazil. Alcoa has secured fully committed financing through a $3.1 billion bridge commitment from Goldman Sachs The Goldman Sachs Group, Inc. , which it plans to replace with cash and permanent debt financing before closing.investing
Alcoa said the acquisition is expected to generate synergies of approximately $900 million in net present value and be immediately accretive to earnings per share and free cash flow following closing. The deal is expected to close in the first half of 2027, subject to South32 shareholder approval and regulatory clearances.investing
For South32, the sale represents a strategic pivot under incoming CEO Matthew Daley, who joined the company as deputy chief executive in February 2026 after a career at Anglo American. Daley succeeded long-serving CEO Graham Kerr, who led South32 since its 2015 demerger from BHP . The divestiture allows South32 to refocus its portfolio toward base metals and copper.reuters+1
