The disposal is expected to generate a pre-tax gain of about $1.8 billion for HSBC and boost the lender's common equity tier 1 (CET1) capital ratio by up to 15 basis points. As part of the agreement, HSBC's Singapore branch will enter into a 15-year exclusive bancassurance distribution agreement with the insurance business, allowing it to continue offering insurance products to its customers in the city-state. Allianz will also make an initial one-off cash payment of S$200 million to HSBC when the distribution agreement is signed.marketscreener+1
The deal marks the conclusion of a process that began in January, when HSBC confirmed it was conducting a strategic review of HSBC Life (Singapore), which provides life, health, personal accident, and savings insurance products. The bank hired JPMorgan as its adviser and began engaging potential buyers in February, initially seeking a valuation of more than $1 billion.bloomberg+2
By April, HSBC had narrowed the field to three shortlisted bidders: Allianz, Sumitomo Life Insurance, and Dai-ichi Life Group. Bloomberg reported in June that Allianz had emerged as the frontrunner after outbidding the other industry players.insurancejournal+3
The sale is the latest in a series of moves under CEO Georges Elhedery, who took over in September 2024 and has been cutting management layers, jobs, and non-core businesses to streamline the bank's operations. HSBC had previously completed a $529 million acquisition of AXA's Singapore operations in 2022 under former CEO Noel Quinn.LinkedIn+2
The transaction is subject to regulatory approvals and is expected to close in the first half of 2027. For Allianz, the acquisition would make Singapore one of its largest markets in the life and health insurance segment in Asia, according to Bloomberg Intelligence analyst Steven Lam. The deal also follows Allianz's failed attempt in 2024 to acquire a majority stake in Singapore's Income Insurance for about S$2.2 billion.businesstimes+2
