Following settlement, FedEx and Advent will each hold 37% of the controlling consortium. A&R Investments, the vehicle of InPost founder and CEO Rafał Brzoska, will retain 16%, while Czech investment group PPF will hold the remaining 10%. Brzoska is set to remain as CEO, and InPost will keep its brand, Polish headquarters and existing management structure.pulse2+2
The €15.60 offer price represented a 50% premium over InPost's undisturbed closing price of €10.40 on January 2, though it fell below the company's listing price when it debuted on Euronext Amsterdam in 2021.ttnews
The consortium plans to delist InPost from Euronext Amsterdam and acquire full control of the business. It will announce by September 23 whether the offer has been declared unconditional and may open a post-acceptance period for additional shareholders to tender their shares. If its stake remains below 95%, the group intends to pursue a post-closing demerger and liquidation to acquire the entire company; reaching 95% would allow it to squeeze out remaining shareholders.reuters+1
The deal gives FedEx immediate access to one of Europe's largest out-of-home delivery networks, comprising more than 61,000 automated parcel machines and over 33,000 pickup and drop-off locations across nine countries. The two companies plan to remain operationally independent while entering commercial agreements connecting FedEx's global network of approximately 3 million business customers with InPost's last-mile infrastructure.
