Under the terms disclosed in a regulatory filing, Qualcomm will issue up to 19.2 million shares to Modular's equity holders when the transaction closes in the second half of 2026, subject to customary regulatory approvals. Modular was co-founded by Chris Lattner, the engineer behind LLVM, the Clang compiler, and Apple's Swift programming language. The company built an AI-native software stack that enables models to run across CPUs, GPUs, NPUs, and custom ASICs without code rewrites for each accelerator. The deal deepens Qualcomm's push into data center AI and diversification away from smartphone chips. It follows reports that the company is separately negotiating to acquire AI chip startup Tenstorrent in a deal valued between $8 billion and $10 billion.
