The company says it is building its own molecular biology lab and investing in research that could eventually yield drug candidates, Fierce Biotech reported. The same filing warns that its protections against misuse are incomplete and that drug research carries regulatory, safety and liability exposure the company has not handled before.fiercebiotech.com
Anthropic filed its Form S-1 with the Securities and Exchange Commission on Monday, October 26. It plans to list Class A shares on the Nasdaq Global Select Market under the symbol "ANT" and has not yet set a share count or price range, according to the company. The filing shows revenue of $16.29 billion for the six months ended June 30. Over the same period, the company posted a net loss of $80.7 billion, mostly from accounting charges tied to convertible notes, CNBC reported.forbes.com+1
The prospectus opens by stressing scientific discovery. It points to internal biology research in which Anthropic's AI identified a new family of enzymes with properties similar to those used in CRISPR gene editing, Forbes reported. Its Claude for Life Sciences platform is built to cover the whole drug development process, from early discovery to clinical trial operations and regulatory submissions. It connects to electronic lab notebooks and scientific databases, according to Fierce Biotech. The filing also describes a Model Hardware Standard that lets AI agents run lab equipment such as microscopes, liquid handlers and robotic arms.forbes.com+1
Anthropic works with drugmakers including Novo Nordisk and Bristol Myers Squibb Bristol-Myers Squibb Company . In April it added Novartis CEO Vas Narasimhan to its board and bought computational biology startup Coefficient Bio in a deal involving 15.4 million Anthropic shares, Fierce Biotech reported. The filing also says the World Health Organization used Claude during the current Ebola crisis to cut the time needed to prepare daily situation reports from a full day to under an hour, per Forbes.fiercebiotech.com+1
The company says its models could be misused by people seeking chemical, biological or other dangerous weapons. It concedes that its safeguards are incomplete, may become outdated as threats evolve, and have been circumvented before, Forbes reported. It also says AI-controlled lab instruments could cause physical harm or the release of hazardous materials.forbes.com
Lab work brings new obligations, including handling biological and chemical materials and meeting biosafety rules. It could also expose the company to workplace-injury and environmental-contamination claims, according to Fierce Biotech. Any drug candidates would face "lengthy, costly, and uncertain development and regulatory pathways" and might never earn revenue, the filing says. Anthropic also warns that it "may be unable to fully understand or explain why our models produce particular outputs," which could make it harder to satisfy regulators such as the FDA.fiercebiotech.com
The S-1 contains more than 90 pages of risk factors, and Goldman Sachs The Goldman Sachs Group, Inc. and Morgan Stanley are lead underwriters, CNBC reported. The offering could be one of the largest ever. The New York Times reported in August that it might raise more than $100 billion at a valuation near $2 trillion, Fierce Biotech noted.cnbc.com+1
