equilar.com.kvia.com+1.bnd.com+1.Anthropic's IPO filings show what the company paid CEO Dario Amodei in 2025 and who will control the company after it lists. Amodei received about $18.0 million in total reported compensation, and nearly three-quarters of it was equity, according to an Equilar analysis of the S-1. The same documents give the seven co-founders a majority of shareholder votes. Anthropic is preparing for what CNN calls a possible record-scale debut on Wall Street, and the structure is already raising questions about how a safety-focused company will answer to public investors.equilar.com+1
Amodei's base salary was about $654,000. Equilar says that puts him in roughly the bottom 15% of CEOs at S&P 500 technology and software companies, and his $13.3 million in equity awards ranks in about the bottom 35%. Security spending runs the other way. His roughly $2.8 million in security benefits put him in the top 4% of S&P 500 executives who disclosed such costs, and it was about 21 times the median those companies reported spending on security for all their executives combined.equilar.com
Calcalist reports that Dario and Daniela Amodei together received $34.37 million in 2025. Anthropic spent $2.75 million on Dario's security and $1.29 million on Daniela's, and it reimbursed Dario $97,100 for private flights "as necessitated by his security requirements". The broader workforce is expensive too. Employee compensation reached $1.7 billion in the third quarter across 5,300 employees, which works out to about $107,000 per worker per month. That average is likely pushed up by a small number of very large packages.calcalistech.com
Anthropic has five share classes. Through an entity called Founder LLC, the seven founders hold a single Class F share. It gives them 50.1% of the vote on every matter except electing the directors chosen by the company's Long-Term Benefit Trust. The trust's five members, who include former Federal Reserve chair Ben Bernanke, have no financial stake in the company and appoint four of the board's seven directors. The filing warns shareholders that the trust "may exercise its power in a way with which you disagree".kvia.com+1
Anthropic filed its first S-1 on October 26. An amendment on November 2 added third-quarter revenue of $16.96 billion and an operating loss of $567 million, as computing costs climbed (Reuters via BND; Fortune). The company plans to list on Nasdaq under the ticker ANT. The price range and the number of shares are still blank.fortune.com+2
Anthropic is a public benefit corporation, which legally requires it to balance shareholder returns against its mission. D.A. Davidson's Gil Luria told CNN that the company is "explicit" that it may sometimes choose not to maximize shareholder value. Seaport Research Partners' Jay Goldberg was more direct in a note: "We believe this structure gives the LTBT and the founders effective permanent control of the company".kvia.com
